1. Who we are and accepting these terms
These Terms of Service (“Terms”) are an agreement between:
- Scheer Group Pty Ltd (ABN 52 685 462 159), trading as Feaso Cloud (“Feaso Cloud”, “we”, “us”); and
- the business, company, trust or other entity that signs up for Feaso Cloud (the “Customer”, “your organisation”), and each person who uses Feaso Cloud as part of it (“you”).
You accept these Terms when you tick the box agreeing to them (on the website’s sign-up form, an invitation or a trial link) or when you use Feaso Cloud. If you accept for an organisation, you confirm you have authority to bind it.
Our Privacy Policy explains how we handle personal information and forms part of these Terms.
Feaso Cloud is a business service. You must be at least 18 to use it.
2. The service
Feaso Cloud is a browser-based platform for preparing property development feasibilities in Australia. It is available at https://feaso.cloud (the “app”), and our website is feasocloud.com.au. The service includes:
- projects, scenarios and saved versions, with a calculation engine that works out costs, revenue, finance, cash flow, returns and related figures;
- stamp duty and land tax schedules for Australian states and territories, and the 3-month BBSW rate read from ASX;
- reports and exports (PDF, and Excel with values only);
- Supporting Documents (file storage linked to items in a feasibility);
- external shares (read-only copies sent to people outside your organisation); and
- the features of your plan (section 5).
Feaso Cloud is designed for desktop browsers with a window at least 1280 pixels wide.
We may change, add or remove features from time to time. If we remove a feature that is a material part of your paid plan, we will give owners reasonable notice.
3. Accounts and security
How accounts are made. An organisation is created when someone signs up on the website (with an emailed code to check the address, and payment for Pro or Team), through a trial link from us, or by us directly. Its first owner receives a temporary password by email, which works for 72 hours. Other people join only by invitation from an owner or admin.
Two-factor authentication is required. At first sign-in you must choose a new password and set up an authenticator app. Keep your recovery codes somewhere safe. If your organisation’s only owner loses both their authenticator and recovery codes, we will verify their identity before resetting it, which may take time.
One person, one organisation. Each email address can belong to only one organisation. To work in a second organisation, use a different email address.
Roles. Each organisation has owners, admins and members. Owners control billing, members and roles, and may change a member’s email address, reset their two-factor authentication or delete their account. People cannot delete their own accounts; an owner does that, or you can ask us.
Your responsibilities. You must:
- give accurate details and keep them current;
- keep your password, authenticator and recovery codes secure and not share your account;
- make sure only authorised people in your organisation are invited, and remove people who should no longer have access; and
- tell us promptly at hello@feasocloud.com.au if you suspect unauthorised access.
You are responsible for what happens under your organisation’s accounts, except where it is caused by our failure to take reasonable care.
4. Plans, billing and GST
Plans. We offer Free, Pro and Team. What each includes and costs is shown on our website’s plans page.
Payment. Pro and Team are billed monthly in advance through Stripe, our payment provider. Prices include GST, and Stripe issues tax invoices. By subscribing you authorise us (through Stripe) to charge your payment method each month until you cancel. Stripe’s own terms also apply to payments.
Seats. On Team, each member and each pending invitation uses a seat. Owners can add seats at any time.
Changing plans. Moving up (a bigger plan or more seats) takes effect at once, and you are charged a prorated amount that day. Moving down (a smaller plan or fewer seats) takes effect at your next renewal. Credits are issued as credit notes.
Cancelling. An owner can cancel at any time in the Customer Portal (Settings › Billing and plan). Your paid plan continues until the end of the current billing period, and then your organisation moves to Free.
Failed payments. If a renewal payment fails, we give 3 days’ grace and email the owners each day. If the payment is not made, the subscription ends and the organisation moves to Free.
Moving down never deletes your work. When an organisation moves to a lower plan (including after cancelling, a failed payment or the end of a trial), everything is kept. Whatever is beyond the new plan’s limits stays visible but read only, and can be exported only as the new plan allows. On Free and Pro, only one person (the owner who chose the plan, or the longest-standing owner) can work in the organisation; other people keep their membership but cannot use it until the organisation moves back to Team. Moving back up unlocks everything as it was.
Refunds. Fees are not refundable for part of a billing period, unused seats or features you did not use, except where the law requires otherwise (including under the Australian Consumer Law) or we agree in writing. If a sign-up is refused after payment (for example because the email address already had an account), we cancel the subscription and refund the payment.
Price changes. We may change our prices. We will tell owners by email at least 3 days before a new price applies to an existing subscription. If you do not agree, you can cancel before it takes effect.
5. Trials
Trials are offered by invitation only; you cannot start one yourself. We may give an organisation a trial of Pro, or of Team with a set number of seats, usually for 14 days.
- No payment details are needed, and nothing is charged during or at the end of a trial.
- We email the owners 3 days and 1 day before the trial ends.
- When the trial ends, the organisation moves to Free under the rules above: nothing is deleted, and work beyond Free’s limits becomes read only.
- Buying a plan during a trial ends the trial, and billing starts then.
- A trial link works once, for 30 days. An organisation usually gets one trial.
- We may end or change a trial at any time.
6. Your content
You own your content. “Your content” means everything your organisation and its people put into Feaso Cloud: feasibilities, inputs, notes, templates, documents, logos, photos and the like. As between you and us, your organisation owns it.
Licence to us. Your organisation gives us a non-exclusive, royalty-free licence to host, store, copy, back up, process, calculate, display and transmit your content as needed to provide, secure and support the service, and as described in the Privacy Policy.
Every saved version of every scenario is copied to give support, to backup changes to the calculation engine and for improvements and development of Feaso Cloud. Your organisation gives us a perpetual, irrevocable licence to keep and use these copies, and de-identified data made from them, for those purposes.
Your responsibility for your content. You confirm that you have the rights and any consents needed to put your content into Feaso Cloud, including personal information about other people (such as vendors, tenants and joint-venture partners), and that your content does not break any law or anyone else’s rights.
Our property. We (and our licensors) own Feaso Cloud: the software, calculation engine, design, the Feaso standard calculation method, built-in templates and documentation. These Terms give you a non-exclusive, non-transferable right to use the service for your organisation’s internal business purposes while your organisation’s account is open. Reports and exports you produce from your content are yours to use.
Feedback. If you send us suggestions, we may use them without obligation to you.
7. External shares
A member can share a saved scenario with someone outside your organisation. The recipient gets a link by email and must enter a code sent to the same address. They see a frozen, read-only copy of the tabs you chose, and can download a PDF and an Excel file of those tabs.
- You are responsible for who you share with and what you share. Check the recipient’s name and email address, the tabs and, for a joint venture, the perspective before you send.
- A share lasts until its expiry date (30 days by default, at most 365) or until it is revoked. Members can revoke their own shares; admins and owners can revoke any.
- Revoking stops the link at once, but we cannot recall files the recipient has already downloaded or anything they copied.
- Supporting Documents are never included in a share.
- Recipients must use a share only for the purpose it was given. These Terms’ acceptable use rules apply to them too.
8. Acceptable use
You must not, and must not let anyone else:
- use Feaso Cloud for anything unlawful, misleading or fraudulent;
- try to access another organisation’s data, or any part of the service you are not allowed to reach;
- probe, scan or test the service’s security, or get around its limits, plan restrictions, rate limits or security measures, without our written permission;
- upload malware or files designed to cause harm;
- disrupt or overload the service, or use automated means (bots, scripts, scraping) other than as we allow;
- create organisations or sign-ups in bulk, or with other people’s email addresses;
- share accounts or sign-in details;
- copy, reverse engineer or decompile the service or its calculation engine, except as the law allows;
- resell, sublicense or provide the service to others as a bureau, or use it to build a competing product; or
- upload content that infringes someone’s rights or that you have no right to share.
We may remove content or suspend access that breaks these rules (section 12).
9. Calculation results are a tool, not advice
Please read this section carefully.
Feaso Cloud is a modelling tool. Its results depend entirely on the inputs and assumptions you enter and on the calculation method chosen. It does not know your project, your site, the market or your circumstances.
- Nothing in Feaso Cloud is financial, investment, credit, valuation, tax, accounting, legal or planning advice. No result is a valuation, an appraisal or a forecast you can rely on, and no report is prepared by a qualified valuer, quantity surveyor, accountant, lawyer or financial adviser.
- You must check every result yourself and get independent professional advice before making decisions, such as buying land, committing to construction, applying for or offering finance, or presenting figures to lenders, investors, partners or buyers.
- Tax and duty figures (stamp duty, land tax, GST) are estimates from schedules we maintain for convenience. Rates, thresholds, concessions and surcharges change and may not reflect your situation. Confirm them with the relevant revenue office or your adviser.
- The BBSW rate is read from ASX each weekday and may be delayed, out of date or unavailable; saved versions keep the rate they were saved with.
- We improve the calculation engine over time. A change can alter figures calculated for an existing feasibility.
- You are responsible for the reports and exports you give to others, and for how others use them.
We are not liable for any loss arising from decisions made using Feaso Cloud’s results.
10. Availability and support
We aim to keep Feaso Cloud available and reliable, but we do not promise that it will be uninterrupted, error-free or available at any particular time. We may need to stop it briefly for maintenance and updates, usually without notice. Services we rely on (such as hosting, email and payments) can also fail.
Support is by email to hello@feasocloud.com.au during Australian business hours.
We keep backups so data can be restored after a serious failure, but you should keep your own copies of important reports and exports.
11. Exporting and deleting your data
Exporting. While your organisation’s account is open, you can export reports and tabs as PDF and Excel (values only, never formulas), and download your Supporting Documents, as your plan allows. On Free, the only export is the Feasibility summary PDF; work kept from a paid plan stays viewable.
Deleting. Members and admins can delete projects as their role allows. Deleted Supporting Documents can be restored for 30 days, then they are permanently removed. Owners can delete members’ accounts; a deleted person’s name stays in the organisation’s change history.
Closing your organisation’s account. To close your organisation’s account and have its data deleted, an owner can email us.
12. Suspension and termination
By you. You can cancel a paid plan at any time (section 4). An organisation on Free can keep its account open, or ask us to close it (section 11).
By us. We may suspend or restrict access, or end these Terms for an organisation, if:
- you materially breach these Terms (including section 8) and, if the breach can be fixed, you do not fix it within 3 days of our notice;
- we reasonably believe it is needed to protect the service, other customers or anyone else, or to comply with the law; or
- we stop providing Feaso Cloud, in which case we will give owners at least 30 days’ notice and a chance to export their data, and refund any fees paid for the period after it ends.
A failed payment moves the organisation to Free rather than suspending it (section 4).
What happens on termination. Your right to use the service ends. Sections 6 (master copies and our property), 9, 13, 14 and 16, and any fees owing, survive.
13. Liability
The Australian Consumer Law. Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law, that cannot lawfully be excluded or limited (“Non-excludable Rights”).
Limiting our liability for consumer guarantees. Where our liability for failing to comply with a consumer guarantee can be limited, and the services are not of a kind ordinarily acquired for personal, domestic or household use, our liability is limited (at our choice) to supplying the services again or paying the cost of having them supplied again.
Subject to the Non-excludable Rights, and to the extent the law allows:
- the service is provided “as is”, and we give no other warranties, express or implied;
- we are not liable for any indirect or consequential loss, or for any loss of profit, revenue, opportunity, data, goodwill or anticipated savings, however it arises;
- we are not liable for loss arising from your inputs, your reliance on results without checking them (section 9), or decisions made using the service; and
- our total liability to your organisation in connection with these Terms and the service is limited to the fees your organisation paid us in the last billing cycle before the event giving rise to the claim.
Our liability is reduced to the extent you or your people caused or contributed to the loss.
Indemnity. Your organisation indemnifies us against claims by third parties arising from your content, your external shares, or your breach of these Terms or the law.
14. Governing law
These Terms are governed by the laws of Victoria, Australia. Each party submits to the non-exclusive jurisdiction of the courts of that state or territory and the courts that hear appeals from them.
Before starting court proceedings (except for urgent relief), please contact us at hello@feasocloud.com.au so we can try to resolve the dispute in good faith.
15. Changes to these Terms
We may update these Terms. We will publish the new version on this page with its date. For changes that materially affect you, we will tell owners by email before they take effect. If you keep using Feaso Cloud after the change takes effect, you accept the new Terms. If you do not agree, you can cancel before then.
16. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement about Feaso Cloud, and replace earlier discussions.
- Assignment. You may not transfer these Terms without our consent. We may transfer them to a buyer of our business, with notice to owners.
- Severability. If part of these Terms is unenforceable, the rest still applies.
- Waiver. Not enforcing a right straight away does not waive it.
- Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control.
- Notices. We send notices to owners’ email addresses. Send notices to us at hello@feasocloud.com.au.
